Affiliate Program Terms and Conditions

1. Overview.
This Agreement contains the complete terms and conditions that apply to
Affiliate’s participation in the Marketing Network of PT Tridaya Cipta. These
Terms and Conditions represent the whole agreement and understanding
between PT Tridaya Cipta ("We", " PT Tridaya Cipta", or Keponet) and you
(“you”, “Affiliate”, “Affiliate Member”, “Exclusive Partnership”).
Please read this agreement careful as it represents a legally binding agreement
between PT Tridaya Cipta and you. When you use the Keponet application
and use of the Affiliate Program feature from us, you agree to comply with all
of the terms and conditions set out in this Affiliate Agreement. PT Tridaya
Cipta may terminate your Affiliate Account at any time, with or without
notice, for conduct that is in breach of this Affiliate Agreement, for conduct
that we believe is harmful to our business and / or your business, for conduct
where the use of the Affiliate Program is harmful to any other party, the event
of fraudulent, fraudulent or other illegal acts.
2. Member of Affiliates Program.
Participants who can participate in affiliate programs from the PT Tridaya
Cipta are active users who have already used the Keponet application and at
least once made a successful payment to renewal the subscription package
using Keponet. All Keponet application users who fulfill these requirements,
automatically become affiliate members and have the right to market our
products individually or in groups.
3. Types of Affiliate Program Members.
We have two types of membership in the Keponet Affiliate Program that you
can choose and use to market our products. The types of membership we have
are “Affiliate Members” and “Exclusive Partnerships”. The difference
between the two memberships that we have is the source and the percentage of
the commission that can be earned by each affiliate member.
4. Approval or Rejection to Upgrade The Partnership Status.
We have the rights to review, delay, approve, reject, or suspended any request
to upgrade the membership status that are sent to us based on our sole
discretion. The discretion we take is final and absolute. You will have no any
legal recourse against us if we do rejection on upgrade your membership
status.
5. Referral Tracking.
Keponet will give all affiliated partners (Affiliate Member and Exclusive
Partnership) with a specific Referral Link that can be used by affiliate partners
to register new users who want to join the Keponet. With this system (one

user, one specific referral link), we can make sure that the potential user you
get will actually enter into your group. Moreover, we will also track new users
who using your link to join using the Keponet application manually and
automatically (double referral checks). Only new users who successfully
register and subscribe to the Keponet through a link provided by affiliate
participants who will be recorded and receive commissions from Keponet.
The affiliate partner is not authorized to modify or alter the Referral Links or
the cookies in any way. We are not responsible for any tracking or reporting
errors that may result from any modifications to the Referral Link or the
cookies.
6. Commission.
a. Commission for Affiliates Member.
You who are part of the “Affiliate Member” type will receive a
commission from us if the new user (client) you get are successfully
makes a payment for subscription package using Keponet at their hotel.
The percentage of commission we pay when you get an eligible new user
is 10% from the subscription package payment by the relevant client.
b. Commission for Exclusive Partnership.
You who are part of the “Executive Partnership” type can receive double
commission from us if the new user (client) you get are successfully
makes a payment for subscription package using Keponet and adds more
user at their hotel. The double commission you will get is from:
1) Commission from Subscription Package Payment.
You will receive a commission from us if the new user you get are
successfully makes a payment for subscription package using Keponet
at their hotel. The amount of commission we pay when you get an
eligible new user is:
a) Commission 30% of the subscription fee paid to us for subscribing
of Keponet application by the first client (Hotel).
You will get a commission if the same hotel pays a subscription in
the first year and the second year only. However, in the third year
you will not get a commission from this hotel.
b) Commission 35% of the subscription fee paid to us for subscribing
of Keponet application by the second client (Hotel).
You will get a commission if the same hotel pays a subscription in
the first year and the second year only. However, in the third year
you will not get a commission from this hotel.
c) Commission 40% of the subscription fee paid to us for subscribing
of Keponet application by the third client (Hotel).
You will get a commission if the same hotel pays a subscription in
the first year and the second year only. However, in the third year
you will not get a commission from this hotel.

d) Commissions up to 50% of the subscription fee paid to us for
subscribing of Keponet application by the fourth client (Hotel) and
the next new client (Hotel).
You will get a commission if the same hotel pays a subscription in
the first year and the second year only. However, in the third year
you will not get a commission from the same hotel.
2) Commission from Additional User Payment.
You will receive extra commission from us if the new user you get are
successfully makes a payment for additional user at their hotel. The
percentage of commission we pay when you client successfully makes
a payment for additional user is 20% from total payment of additional
user.
7. Qualification.
The affiliates application is said to fulfill the requirement as an affiliate
application form if there is a new user who successfully registers to the
Keponet and successfully completes at least one subscription package
payment for the use of the Keponet.
We have our own judgment in making every decision to accept or reject all
affiliate applications that send to our board of directors. All decisions will be
decided through an internal meeting by the Keponet board of directors and the
discretion we take is final and absolute.
8. Approval or Rejection of the Affiliates Application.
We reserve the right to review, delay, approve, or reject for any applications
form for affiliate program that are sent to us based on our sole discretion. The
discretion we take is final and absolute. You will have no any legal recourse
against us if we do rejection of your affiliate program application.
9. Payout & Transaction Process.
The Keponet will pay out your commission if the affiliate partners (Affiliate
Member and Exclusive Partnership) successfully invites new users to use
Keponet, the new user makes a payment at least once for a subscription
package to use Keponet application, and successfully passes the results of our
directors' review. We will contact you via email first, to confirm your personal
identity information and provide further direction to claim your commission.
All affiliate commission payout will be payable in Indonesia Rupiah (IDR)
only, except as otherwise determined by PT Tridaya Cipta in its sole
discretion. We will send your commission to your personal account via the
bank transfer method.
Your commission will become void automatically if you do not reply to our
confirmation email after 12 calendar months. We has the rights to recalculate,
cancel, or disqualify the transaction process if in the middle of the process we
find irregularities like breach of this Affiliate Agreement, for conduct that we

believe is harmful to our business and / or your business, for conduct where
the use of the Affiliate Program is harmful to any other party, the event of
fraudulent, fraudulent, or other illegal acts.
10. Promotion.
You have the authorized to disseminate information on the Keponet website
by providing information about the source of the link. You are also allowed to
share referral links that you have through various online media and non-online
media.
11. Ownership.
PT Tridaya Cipta shall has all right, title and interest, including all Intellectual
Property Rights, inside the Keponet Site, the Keponet application (Web
application and Mobile Application), and all links inside keponet application
and/or website.
For the purposes of this Agreement “Intellectual Property Rights” means
copyright rights, trademark rights, patent rights, trade secrets, moral rights,
right of publicity, development rights, contract and licensing rights, goodwill
and all other intellectual property rights as may exist now and/or hereafter
come into existence and all renewals and extensions.
12. Liability.
Keponet will not be liable for indirect or accidental damages (loss of revenue,
commissions, and/or referral link) due to affiliate tracking failures, loss of
database files, or any results of intents of harm to the Program and/or to our
application(s). We do not make any expressed or implied warranties with
respect to the Program and/or the memberships or products sold by Keponet.
We make no claim that the operation of the Keponet application, Keponet
Affiliates Program, and/or our website(s) will be error-free and we will not be
liable for any interruptions or errors. However, we make every effort to
maintain the trust, convenience and security of data from all our customers.
13. Term and Termination of the Agreement.
The terms and condition begins upon you have been entered the Keponet
Affiliate Program and will end when your Affiliate account is terminated. This
affiliates terms and conditions can be modification by us at any time. If any
modification to this affiliates terms and conditions are unacceptable to you,
your only choice is to terminate your Affiliate account. Your continued
participation in the Affiliate Program is your acceptance of any change.
We may forcibly terminate your Affiliate Account at any time, with or without
notice, for behavior that violates this Affiliate Agreement, for behavior that we
believe is harmful to our business and / or your business, to behavior in which
the use of the Affiliate Program is harmful to parties other, fraudulent, the
event of fraudulent or other illegal acts.

14. Modification.
We can change or modify this Affiliate Agreement at any time, with or
without notice. Such changes or modifications shall be made effective for all
Affiliates participant and will be uploaded in: The affiliate section or at the
URL https://keponet.com/condition.php. The affiliate partners (Affiliate
Member and Exclusive Partnership) is responsible for reading this document
from time to time to ensure that all stakeholders fulfill all due, liability, and
responsibilities. If any modification is unacceptable to the Affiliate, its sole
recourse shall be to terminate this Affiliate Agreement. All modifications
constitute part of one entity from the affiliate agreement and bind to all
affiliated participants during their membership period.
15. Miscellaneous.
This Affiliate Agreement constitutes the entire understanding between PT
Tridaya Cipta and the Affiliate partner side (Affiliate Member and Exclusive
Partnership). This Affiliate Agreement supersedes any other contracts or
understandings between the parties here to and neither party will be bound by
a statements or representations that are not embodied in this Agreement. Any
dispute arising in relation to this Affiliate Agreement will be resolved in
deliberation forum and if there is still no solution, these disputes shall be
exclusively resolved in the judiciary.
